Terms of service

These Terms of Service ("Terms") govern your access to and use of the Push To Display platform, including the API, admin portal, mobile display applications, and related services (collectively, the "Service"), operated by Goban Source, LLC ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Eligibility and accounts

You must be at least 16 years of age to use the Service. You authenticate through a supported third-party identity provider (Apple, Microsoft, or Google). You are responsible for maintaining the security of your identity provider account and for all activity that occurs under your Push To Display account.

Service description

Push To Display enables you to create display boards, bind devices to boards, issue API keys, and send structured content payloads via HTTP API. The Service delivers those payloads to registered display devices in real time. Service availability and features may vary by subscription plan. We reserve the right to modify the features, quotas, and limitations associated with any subscription tier at any time. We may also introduce new subscription tiers or discontinue, rename, or restructure existing tiers at any time. If your current tier is discontinued, we will provide reasonable advance notice and migrate your account to the most comparable available tier. Changes may apply to new subscribers immediately and to existing subscribers following reasonable advance notice. We may, at our sole discretion, maintain existing entitlements for current subscribers or require transition to updated tier specifications. Material reductions to a paid tier will be communicated through the Service or by email before taking effect.

Subscriptions and billing

The Service offers Sandbox (free), Go, Pro, and Business subscription tiers. Paid subscriptions are billed through Apple App Store or Google Play (collectively, "App Store"). Subscriptions auto-renew at the end of each billing period unless cancelled at least 24 hours before renewal. Pricing is displayed in-app at the time of purchase. We reserve the right to change subscription pricing at any time. Price changes may apply to new subscribers immediately and to existing subscribers at the start of the next billing cycle following reasonable advance notice through the Service or by email. We may, at our sole discretion, maintain existing pricing for current subscribers or require all subscribers to transition to updated pricing. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing. If you do not agree to a price change, you may cancel your subscription before the next renewal. You may manage or cancel your subscription through your App Store account settings. Refunds are handled according to the applicable App Store refund policy.

Acceptable use

You agree not to: (a) use the Service to transmit unlawful, harmful, threatening, abusive, or objectionable content; (b) attempt to gain unauthorized access to the Service or its related systems; (c) interfere with service integrity or performance; (d) reverse engineer, decompile, or disassemble any part of the Service; (e) resell or redistribute API access without authorization; or (f) use the Service to violate any applicable law or regulation.

Credentials, security, and rate limits

You are responsible for safeguarding API keys, signed board IDs, and any other credentials issued through the Service. Rotate credentials when team membership changes or when you suspect unauthorized access. We may suspend or revoke credentials associated with abusive traffic or suspicious activity to protect the platform. We may impose rate limits, throttling, or request queuing on API usage at any time to maintain platform stability. Rate limits may vary by subscription tier and are subject to change. Exceeding applicable rate limits may result in temporary or permanent restriction of API access.

Content and data

You retain ownership of all content you send through the Service. You grant us a limited license to transmit, store temporarily, and display your content solely for the purpose of operating the Service. You are solely responsible for the content of payloads delivered to display boards. We do not monitor payload content but may remove content or suspend access if we receive reports of violations. The Service is not designed as a data storage or backup solution. We do not guarantee the retention, availability, or recoverability of any content or configuration data. You are solely responsible for maintaining your own backups of any data you transmit through the Service.

Account deletion

You may request deletion of your account and associated data at any time through the app settings or by contacting [email protected]. Upon deletion, we will remove your account data, board configurations, and API keys. Deletion is permanent and cannot be reversed. Active subscriptions should be cancelled through your App Store account before requesting account deletion.

Beta and preview features

We may offer features, tools, or integrations designated as "beta," "preview," "early access," or "experimental" (collectively, "Beta Features"). Beta Features are provided for evaluation purposes only, may contain bugs or errors, and may be modified or discontinued at any time without notice. Beta Features are provided "as is" without any warranties or support obligations. Your use of Beta Features is at your sole risk and does not entitle you to continued access or any specific level of performance.

Intellectual property

The Service, including its software, API, documentation, design, trademarks, and all related intellectual property, is and remains the exclusive property of Goban Source, LLC and its licensors. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

Termination and suspension

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in abusive or fraudulent activity, or if required by law. Upon termination, your right to use the Service ceases immediately. We also reserve the right to modify, suspend, or permanently discontinue all or any part of the Service at any time, with or without notice. We will use commercially reasonable efforts to provide advance notice before discontinuing the Service entirely. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service. Provisions that by their nature should survive termination — including sections on intellectual property, indemnification, limitation of liability, and governing law — will survive.

Service availability and disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee any specific level of uptime or availability and do not offer a service-level agreement unless separately agreed to in writing. Scheduled and unscheduled maintenance may temporarily affect Service availability. We use commercially reasonable efforts to perform maintenance in a minimally disruptive manner, but we do not guarantee uninterrupted access during maintenance windows. Your use of the Service is at your sole risk.

Limitation of liability

To the maximum extent permitted by law, Goban Source, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to loss of profits, data, or business opportunities. For any service disruption, outage, or degradation, your sole and exclusive remedy is the issuance of service credits at our discretion, which may be applied toward future subscription periods. Service credits have no cash value, are non-transferable, and expire upon account termination. Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amounts you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless Goban Source, LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) any content you transmit through the Service; (c) your violation of these Terms; or (d) your violation of any rights of a third party. This obligation survives termination of your account and these Terms.

Third-party services

The Service relies on third-party infrastructure and service providers, including cloud hosting platforms, identity providers, and app store platforms. We are not responsible for any outage, failure, or limitation caused by third-party services. Your use of third-party identity providers is subject to those providers' own terms and privacy policies.

Force majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, cyberattacks, pandemics, war, or the failure of third-party service providers.

Copyright and DMCA

We respect the intellectual property rights of others. If you believe that content displayed through the Service infringes your copyright, you may submit a notice to our designated agent at [email protected] with the following information: (a) a description of the copyrighted work; (b) identification of the allegedly infringing content and its location within the Service; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized; and (e) a statement under penalty of perjury that the information is accurate and that you are the copyright owner or authorized to act on their behalf. We may remove or disable access to content in response to valid takedown notices and may terminate accounts of repeat infringers.

Dispute resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered under the rules of the American Arbitration Association, conducted on an individual basis in the State of Wyoming. You agree to waive any right to participate in a class action, class arbitration, or representative proceeding. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights.

Export compliance

You agree to comply with all applicable export and re-export control laws and regulations, including the U.S. Export Administration Regulations and sanctions programs administered by the U.S. Department of the Treasury's Office of Foreign Assets Control. You may not use the Service in any country subject to a U.S. embargo or in violation of any applicable export law.

Electronic communications

By using the Service, you consent to receive communications from us electronically, including by email and through in-app notifications. You agree that all notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing. It is your responsibility to keep your email address current. Notice is deemed received when sent to the email address associated with your account.

Modifications

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles.

General provisions

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Goban Source, LLC regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets without your consent.

Government use. If you are a U.S. government entity or accessing the Service on behalf of one, the Service is provided as a "commercial item" as defined in 48 C.F.R. §2.101, and is licensed to you under these standard commercial Terms. No additional government contracting terms or FAR/DFARS clauses are incorporated unless expressly agreed to in a separate written agreement.
